These Terms of Use ("Terms") govern your use of the Motus platform, including our Zoom integration powered by Recall.ai. By using our services, you agree to these Terms. If you do not agree, do not use the platform.

1. Overview of the Service

Motus provides real-time coaching, analysis, and feedback for Zoom-based sales calls. Our software uses audio data processed through Recall.ai to generate insights that help users improve sales performance.

2. Eligibility

To use Motus, you must:

• Be at least 18 years old
• Have the authority to enter into these Terms on behalf of yourself or your organization
• Agree to comply with these Terms and any applicable laws

3. User Responsibilities

By using Motus, you agree to:

• Use the service in accordance with all applicable laws
• Comply with Zoom's Terms of Service
• Ensure your call participants are informed about the use of AI-based coaching tools (as required by law)
• Not misuse, reverse-engineer, or tamper with the platform

4. Account Security

You are responsible for safeguarding your Motus and Zoom account credentials. You must notify us immediately at Kendra@motustech.io if you suspect any unauthorized access.

5. Subprocessors and Third-Party Access

You acknowledge and agree that Motus may use subprocessors (such as Recall.ai and Zoom) to provide services, and that these subprocessors are subject to strict confidentiality and data protection obligations.

6. Intellectual Property

All content, software, models, designs, and coaching prompts provided through Motus are the exclusive property of Motus and its licensors. You may not:

• Copy, modify, or distribute any part of the service
• Use our name, branding, or materials without prior written permission
• Reverse-engineer, decompile, or otherwise attempt to extract source code

We reserve all rights not expressly granted to you under these Terms.

7. Termination

We reserve the right to suspend or terminate your access to Motus at any time if you:

• Violate these Terms or applicable laws
• Use the service in a harmful, abusive, or fraudulent manner
• Interfere with the functionality, security, or integrity of our platform

You may stop using the service at any time by uninstalling the Zoom app or deactivating your Motus account.

8. Disclaimers

Motus is provided "as is" and "as available." We do not guarantee:

• That the service will be uninterrupted or error-free
• That coaching feedback will always be accurate, effective, or appropriate for every situation
• That data insights will guarantee sales success

To the fullest extent permitted by law, we disclaim all warranties, express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, Motus and its affiliates will not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of business, revenue, data, or goodwill
• Decisions or outcomes based on AI-generated coaching

Our total liability for any claim under these Terms is limited to the amount paid (if any) for the service in the three months preceding the incident.

10. Governing Law

These Terms are governed by the laws of Pennsylvania/United States without regard to conflict of laws principles. Any legal action or dispute must be resolved in the courts of.

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. Any legal action or proceeding arising under or relating to this Agreement shall be brought exclusively in the state or federal courts located in Philadelphia County, Pennsylvania. You hereby consent to the personal jurisdiction and venue of such courts.
